The following are the terms and conditions of accessing Vinbase OnlineTM , Vinbase
Online for FleetsTM , Dynamic CTOTM or other products provided by Vincentric, LLC
(hereinafter the Vincentric Product) that were agreed to upon subscribing to the
Vincentric Product. If you or the organization you represent entered into a separate
licensing agreement to access the Vincentric Product, the terms of that Agreement
shall supersede the terms below. Please read carefully and if you have any questions,
please contact a representative of Vincentric for clarification.
The service is offered to the user/visitor (hereinafter the "customer") upon the
terms and conditions that follow. Use of the Vincentric Product constitutes acceptance
of these terms and conditions, which takes effect on the initial date that the customer
accesses and/or uses the Vincentric Product.
The user shall be responsible for providing payment at the time of purchase. In
addition to direct billing by Vincentric, billing services may be provided through
Authorize.Net, a third party processor.Customer contact information such as name, company name,
phone number, and e-mail address may be used by Vincentric as part of our customer
communication process. See our privacy policy for further details.
If you are purchasing a subscription, the subscription period begins on the day
the sign up and payment process is completed. The subscription is for one user.
Usernames and passwords may not be shared with others for the purposes of having
multiple users without the written consent of Vincentric.
Terminations may occur at any time during the subscription. No refunds will be issued
for terminated subscriptions.
The content provided as part of the Vincentric Product is provided by Vincentric
as a service to the customer and may be used for informational purposes only. The
customer shall not alter, modify, copy, reproduce, republish, upload, post, transmit,
or distribute content in any manner whatsoever. The customer may print and download
content solely for the customer's use.
Vincentric does not warrant the comprehensiveness, completeness, or accuracy of
its products. The information available as part of the subscription is provided
to customer "as is" without guarantee, and we make no express or implied warranties,
including without limitation, any express or implied warranties of merchantability
or fitness for a particular purpose. We shall not be liable for any consequential,
incidental, special damages, lost profits or any damages of a similar nature even
if we have been advised of the possibility of such damages.
Vincentric retains the right to change these terms and conditions at any time by
posting changes online. The customer shall be responsible for reviewing regularly
such information posted online to obtain timely notice of such changes. Continued
access and/or use of the Vincentric Product after the changes are posted shall constitute
acceptance of the modified terms and conditions.
If these terms and conditions are not accepted in full, the access and use of the
Vincentric Product must be discontinued immediately.
